SoftMoc Creators Affiliate Agreement

This Affiliate Agreement (the "Agreement") is entered into between you ("Creator") and MWF Group Inc. ("SoftMoc") in connection with the SoftMoc Creators Program (the "Program"). By accepting this Agreement in-portal, you agree to be bound by it.

1. Commission Structure

SoftMoc pays tiered cash commissions on qualifying net sales attributed to the Creator: 8% (Insider), 10% (Trendsetter), 12% (Icon).

Creators may elect to receive commissions as SoftMoc store credit at an additional +2% bonus rate.

Commission rates are subject to change at SoftMoc's sole discretion. Rate changes apply prospectively only — to orders placed after the updated rates are posted in the portal — and never to commissions already earned. Continued participation after a change constitutes acceptance.

2. Attribution

Attribution is 30-day last-click across devices for the Creator's tracked referral link.

In cases where a promo code and a competing affiliate click are both present on the same order, the promo code wins (code beats click).

3. Commissionable Sales

Commissions are calculated on the merchandise subtotal only. Taxes, shipping, duties, gift cards and gift-card purchases are excluded.

Order amounts paid with SoftMoc store credit or gift cards do not earn commission.

Clawback: commissions on orders that are returned, cancelled, charged back, or determined to be fraudulent will be reversed and deducted from the next payout.

Refunds to the original payment method within SoftMoc's 60-day refund window reverse the associated commission. Refunds issued as SoftMoc store credit do not reverse a commission that has already locked.

4. Payments

Each commission becomes payable 75 days after the order date (60-day refund window plus a 15-day processing buffer) and is paid in the next monthly payout run after locking, in Canadian dollars.

Minimum payout is CA$50. Balances below the minimum roll over to the next month.

Available methods: PayPal or direct deposit (Canadian institutions). Creators are responsible for accurate payout details and any applicable taxes.

5. Disclosure Obligations (mandatory)

Instagram: use the Paid Partnership label on all Program content.

TikTok: enable the Commercial Content Disclosure toggle on all Program content.

Include one of #affiliate or #CommissionEarned in the caption in accordance with Competition Bureau, Ad Standards Canada and FTC guidance.

Failure to disclose properly is a material breach and grounds for suspension.

6. Content Licence

Creator grants SoftMoc a non-exclusive, royalty-free, worldwide licence to repost Creator's Program content on SoftMoc's owned social channels, crediting the Creator by handle, for a period of 30 days from original publication.

7. Prohibited Conduct

Bidding on SoftMoc brand keywords or trademark terms in paid search or social ads.

Posting personal promo codes to coupon aggregator sites, deal forums, or public code databases. Personal codes rotate monthly (format HANDLE-MMM, e.g. ANNA-JUL) precisely to keep them off aggregators; posting them anyway is a material breach and grounds for suspension.

Making misleading performance, price, availability, or product claims.

Publishing brand-unsafe content (hate, violence, adult, unsafe products, dangerous acts) in connection with the Program.

8. Personal Promo Codes

Each active Creator receives a personal promo code that rotates on the first of each calendar month. Codes take the form HANDLE-MMM (e.g. ANNA-JUL) and are valid only during their posted window.

Creators' tracked referral links automatically apply the customer discount at checkout without any code entry, so codes exist for on-camera call-outs and offline mentions rather than as the primary conversion mechanism.

SoftMoc may deactivate and reissue a code at any time (including outside the monthly rotation) if it appears on a coupon aggregator or is otherwise misused. Redemption caps and expiry dates are enforced.

9. Suspension and Termination

SoftMoc may suspend or terminate participation for breach of this Agreement, fraudulent activity, brand-safety incidents, or extended inactivity. Suspension hides Program data but preserves account security options (password and 2FA).

Creators may terminate at any time by written notice; earned but unpaid commissions above the minimum threshold will be paid in the next scheduled payout.

10. Account Security

Creators are responsible for their credentials. Two-factor authentication is mandatory and cannot be disabled. Report suspected account compromise to security@softmoc.com immediately.

11. Independent Contractor

Creators are independent contractors, not employees, agents, or partners of SoftMoc. Nothing in this Agreement creates a joint venture, franchise, or employment relationship.

12. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Exclusive jurisdiction lies with the courts of Ontario.

13. Amendments

SoftMoc may amend this Agreement. Material amendments require a new acceptance in-portal before continued Program access. Commission-rate changes are governed by Section 1 (discretionary and prospective, posted in the portal).
