SoftMoc Creators Affiliate Agreement

This Affiliate Agreement (the "Agreement") is entered into between you ("Creator") and MWF Group Inc. ("SoftMoc") in connection with the SoftMoc Creators Program (the "Program"). By accepting this Agreement in-portal, you agree to be bound by it.

1. Commission Structure

SoftMoc pays tiered cash commissions on qualifying net sales attributed to the Creator: 6% (Insider), 8% (Trendsetter), 10% (Icon).

Creators may elect to receive commissions as SoftMoc store credit at an additional +2% bonus rate.

Commission rates are subject to change at SoftMoc's sole discretion. Rate changes apply prospectively only — to orders placed after the updated rates are posted in the portal — and never to commissions already earned. Continued participation after a change constitutes acceptance.

2. Attribution

Attribution operates through two mechanisms, both of which credit the Creator: (a) SoftMoc-minted tracked links issued to the Creator per approved channel and post, which stamp the Creator's SoftMoc CreatorID on the shopper's session; and (b) personal Master codes assigned per channel (for example COUANNAKIG for Instagram, COUANNAKTT for TikTok), which credit the Creator when the shopper types the code at checkout.

An order is attributed to a Creator and channel when it carries a Master code that was active at the time the order was placed, or when it carries the Creator's CreatorID stamp from a tracked link. Where both are present, the Master code governs the channel and post credited.

Deactivated codes continue to attribute orders that were placed while the code was active. Orders that carry neither a recognized Master code nor a valid tracked-link stamp do not earn a commission.

SoftMoc may deactivate and reissue the Creator's tracked-link slug and/or personal codes at any time to protect the integrity of the Program.

3. Commissionable Sales

Commissions are calculated on the merchandise subtotal only. Taxes, shipping, duties, gift cards and gift-card purchases are excluded.

Order amounts paid with SoftMoc store credit or gift cards do not earn commission.

Clawback: commissions on orders that are returned, cancelled, charged back, determined to be fraudulent, or associated with attributions flagged by SoftMoc's traffic-quality detection will be reversed, held for review, and/or deducted from the next payout.

Any refund within SoftMoc's 60-day refund window — including refunds issued as SoftMoc store credit — reverses the associated commission.

4. Payments

Commissions lock 75 days after the order date (SoftMoc's 60-day refund window plus a 15-day processing buffer) and are paid in the next monthly payout run after locking, in Canadian dollars.

Minimum payout is CA$50. Balances below the minimum roll over to the next month.

Available methods: PayPal or direct deposit (Canadian institutions). Creators are responsible for accurate payout details and any applicable taxes.

5. Disclosure Obligations (mandatory)

Instagram: use the Paid Partnership label on all Program content.

TikTok: enable the Commercial Content Disclosure toggle on all Program content.

Facebook: use Meta's Paid Partnership (branded content) label on all Program content.

Include one of #affiliate or #CommissionEarned in the caption in accordance with Competition Bureau, Ad Standards Canada and FTC guidance.

Failure to disclose properly is a material breach and grounds for suspension.

6. Content Licence

Creator grants SoftMoc a non-exclusive, royalty-free, worldwide licence to repost Creator's Program content on SoftMoc's owned social channels, crediting the Creator by handle, for a period of 30 days from original publication.

7. Prohibited Conduct

Bidding on SoftMoc brand keywords or trademark terms in paid search or social ads.

Posting personal promo codes or tracked-link slugs to coupon aggregator sites, deal forums, or public code databases. Posting a personal code or slug to such a site is a material breach and grounds for suspension; SoftMoc may deactivate and reissue any code that appears on such a site.

Making misleading performance, price, availability, or product claims.

Publishing brand-unsafe content (hate, violence, adult, unsafe products, dangerous acts) in connection with the Program.

8. Personal Promo Codes and Tracked Links

Each approved channel (for example Instagram, TikTok, YouTube, Facebook) receives its own personal Master code (format: the COU prefix plus handle and a channel tag, maximum 15 characters, letters and digits only — e.g. COUANNAKIG for Instagram, COUANNAKTT for TikTok, COUANNAKYT for YouTube, COUANNAKFB for Facebook), together with SoftMoc-minted tracked links for approved posts. Both attribute: when a shopper enters the code at checkout, or arrives through the Creator's tracked link, the resulting order is credited to the Creator and channel that owned that code or link at the time of purchase (see Section 2).

Each code has an individual validity window, expiry date, and product scope set by the Program administrator in consultation with the Creator. There is no fixed monthly rotation. SoftMoc may deactivate and reissue a Creator's code (or tracked-link slug) at any time — for example if a code appears on a public coupon site. When a code is reissued, subsequent codes for the same channel append a generation digit — ANNAKIG2, ANNAKIG3, and so on.

Deactivated codes continue to attribute orders that were placed while the code was active; new orders require the current code. Redemption caps and expiry dates are enforced. Posting a code or slug to a public coupon site is a suspension offence (see Section 7).

9. Approved Channels and Permitted Sharing

Tracked links and Master codes may be published only on the Creator's approved channels. Sharing by personal recommendation — for example a direct message to friends or followers — is permitted.

Traffic from non-approved sources does not qualify for commissions. This includes coupon or deal aggregator websites, search-engine listings, and any other public posting outside the Creator's approved channels. Attribution from such sources may be denied at the tracking level, and commissions traced to non-approved posting may be held, reversed, or clawed back under Section 3 (Clawback).

Repeated or deliberate posting of links or codes on non-approved sites is grounds for revocation of the Creator's codes and links and for termination of this Agreement.

10. Suspension and Termination

SoftMoc may suspend or terminate participation for breach of this Agreement, fraudulent activity, brand-safety incidents, or extended inactivity. Suspension hides Program data but preserves account security options (password and 2FA).

Creators may terminate at any time by written notice; earned but unpaid commissions above the minimum threshold will be paid in the next scheduled payout.

11. Account Security

Creators are responsible for their credentials. Two-factor authentication is mandatory and cannot be disabled. Report suspected account compromise to security@softmoc.com immediately.

12. Independent Contractor

Creators are independent contractors, not employees, agents, or partners of SoftMoc. Nothing in this Agreement creates a joint venture, franchise, or employment relationship.

13. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Exclusive jurisdiction lies with the courts of Ontario.

14. Amendments

SoftMoc may amend this Agreement. Material amendments require a new acceptance in-portal before continued Program access. Commission-rate changes are governed by Section 1 (discretionary and prospective, posted in the portal).
